Bardwire Terms of Service

Thank you for using Bardwire!

These Terms of Service (Terms) govern your access to and use of any website (such as bardwire.xyz), app, service, technology, API, widget, platform, channel or any other products or features owned, operated, branded, or offered by Square Footage, Inc., dba Bardwire (“Bardwire”, “Service”, “We”), except where we expressly state that separate terms apply. These Terms form an agreement between you and Bardwire. By accessing or using Bardwire, you agree to be bound by these Terms. If you do not agree, you may not access or use Bardwire.

Our Privacy Policy explains how we collect and use personal information. Although it does not form part of these Terms, it is an important document you should read.

1. Using our Service

Registration

When you create your Bardwire account, you must provide us with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must not share your account with others without permission. Notify us immediately of any unauthorized use of your account or other security breaches.

Age Requirement

You must be at least 13 years old, or the minimum age required in your country to consent to use the Service. If you are under 18, you represent that you have your parent or guardian’s permission to use the Service.

What You Can Do

Subject to your compliance with these Terms, you may access and use our Service. This currently includes subscribing to content sources (such as podcasts), receiving AI-generated summaries by email, and other features included in the Service now or in the future.

What You Cannot Do

You may not use our Service for any illegal, harmful, or abusive activity. For example, you may not:

  • Use the Service in a way that infringes, misappropriates or violates anyone’s rights, including content creators and data providers.
  • Modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the Service or its content, in whole or in part, except as expressly authorized by Bardwire.
  • Use data mining, robots, scraping, or similar data gathering or extraction methods on the Service or its content.
  • Attempt to or assist anyone to reverse engineer, decompile, or discover the source code or underlying components of the Service.

  • Interfere with or disrupt the Service.

  • Access or attempt to access data you do not have permission to access.

  • If you are blocked by Bardwire from accessing the Service (including by IP blocking), you agree not to circumvent such blocking (e.g., by masking or using a proxy IP address).

  • Any use of the Service or its content other than as specifically authorized herein is strictly prohibited. Any rights not expressly granted herein are reserved by Bardwire.

Data Privacy and Security

We collect and process user data as outlined in our Privacy Policy. This includes information you provide when creating an account and data about your use of the Service. We implement industry-standard security measures to protect your data, but no method of transmission over the Internet or electronic storage is 100% secure. By using our Service, you acknowledge and accept these inherent risks.

2. Content, Intellectual Property, and AI Summaries

Content Ownership and Use

  • Bardwire and its licensors retain all rights, title, and interest in and to the Service and all content provided through the Service, including but not limited to AI-generated summaries, text, graphics, logos, and all other materials (“Site Content”).
  • You may not modify, copy, distribute, create derivative works of, or otherwise exploit any part of the Site Content except as expressly permitted by Bardwire in writing.
  • The Service may include links to third-party content (such as podcasts) and display third-party metadata, images, or other materials. Such content remains the property of its respective owners and is subject to their rights and removal policies.

Your Content

While Bardwire currently does not accept user-generated content, if you provide feedback or input in the future (collectively “Your Content”), you are responsible for ensuring you have all necessary rights, and you grant Bardwire a worldwide, royalty-free, non-exclusive license to use, reproduce, adapt, publish, translate, and create derivative works from Your Content to provide, maintain, and improve the Service.

AI-Generated Output

Bardwire uses third-party providers to generate summaries and other output in response to your activity on the Service. These summaries and outputs:

  • Are generated by artificial intelligence and may not always be accurate, complete, or up to date.
  • Are not endorsed by, affiliated with, or reviewed by the original content creators or data providers.
  • Should not be relied upon as sole sources of truth or as a substitute for professional advice.
  • May be based on data provided by external vendors, which can change or become unavailable at any time.
  • Bardwire is not liable for any inaccuracies, omissions, or interruptions in the delivery of AI-generated summaries or third-party content.

Third-Party Content and Data

The Service may pull or display content, metadata, or other data from third-party sources. Bardwire makes no guarantees as to the accuracy, completeness, or ongoing availability of such content or data, and reserves the right to remove, limit, or modify such content at any time for any reason.

3. Paid Accounts

Billing

If you purchase a paid subscription, you agree to provide accurate billing information and a valid payment method. Subscription fees will be billed automatically via Stripe or another authorized payment processor on a recurring basis until you cancel. You are responsible for any applicable taxes. If payment cannot be processed, your account may be downgraded or suspended until payment is received.

Free Tier and Trials

Bardwire may offer free plans, trials, or other promotional pricing at its sole discretion. The specific terms of such offers will be provided at the time of signup.

Cancellation

You may cancel your paid subscription at any time, in which case your account will revert to the free plan at the end of the current billing period. Payments are non-refundable, except where required by law.

Price Changes

Bardwire may change its pricing at any time, with at least 30 days’ notice for existing subscribers. Any price change will take effect on your next renewal.

4. Termination and Account Deletion

You may stop using the Service at any time. You may also request permanent deletion of your account and associated data by contacting [email protected]. Bardwire reserves the right to suspend or terminate your access to the Service or delete your account if:

  • You breach these Terms.
  • Required by law.
  • Your use of the Service could cause risk or harm to Bardwire, its users, or others.

Accounts that have been inactive for more than one year and do not have a paid subscription may be deleted with advance notice.

5. Indemnity

To the extent permitted by law, you agree to defend, indemnify and hold harmless Bardwire, its affiliates, officers, directors, employees, and agents, from any claims, losses, liabilities, expenses (including attorneys’ fees), arising from:

  • Your use of the Service;
  • Your violation of these Terms;
  • Your violation of any rights of a third party; or
  • Any claim that Your Content caused damage to a third party. This obligation survives termination of these Terms and your use of the Service.

6. Third-Party Links

The Service may contain links to third-party websites and services not owned or controlled by Bardwire. Bardwire is not responsible for those sites or services. We encourage you to read the terms and privacy policies of any third-party sites you visit.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS.” TO THE EXTENT PERMITTED BY LAW, BARWIRE AND ITS AFFILIATES, LICENSORS, AND PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATION.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT SITE CONTENT WILL ALWAYS BE AVAILABLE, SECURE, OR ACCURATE.

YOU AGREE THAT YOUR USE OF AI-GENERATED SUMMARIES AND OTHER OUTPUTS IS AT YOUR SOLE RISK, AND YOU WILL NOT RELY ON THEM AS SOLE SOURCES OF FACTUAL INFORMATION OR PROFESSIONAL ADVICE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BARWIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY CONTENT.

IN NO EVENT SHALL BARWIRE’S AGGREGATE LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS ($100.00), EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY LAW.

9. Dispute Resolution

Informal Resolution:

If you have a dispute with Bardwire, please contact [email protected] first to try to resolve it informally. Neither party may initiate legal proceedings (court, arbitration, etc.) until these steps have been completed. Either party may seek temporary injunctive relief in court if necessary.

Notice of Dispute:

You must send a written notice including your full name, email address associated with your Bardwire account, country/state of residence, counsel (if any), and a detailed description of the dispute, to [email protected]. Bardwire will respond within 60 days. After this period, either party may initiate arbitration.

Arbitration:

If the dispute cannot be resolved informally, you and Bardwire agree to resolve any claims through binding arbitration or small claims court, as permitted. The U.S. Federal Arbitration Act governs this section. All arbitration will be administered by the American Arbitration Association (AAA). Arbitrator’s decisions are final and binding. No class actions or jury trials are permitted.

Venue and Law:

These Terms are governed by California law. Except as required by arbitration, all claims shall be brought exclusively in the state or federal courts of San Francisco, California.

10. General Terms

  • Changes to Terms or Service: Bardwire may update these Terms or the Service at any time. We will provide at least 30 days’ notice for material changes, either by email or via a prominent notice on the website. All other changes are effective immediately upon posting. Your continued use of the Service constitutes acceptance. If you do not agree, you must stop using the Service and may request account deletion.
  • Assignment: You may not assign your rights or obligations under these Terms. Bardwire may assign these Terms to any affiliate, subsidiary, or successor in interest.
  • Severability: If any part of these Terms is held unenforceable, the remaining terms remain in effect.
  • Waiver: Bardwire’s failure to enforce a provision does not waive its right to do so later.
